Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, AI assistant, and related services (together, the "Service") provided by DashOpz ("DashOpz", "we", "us", or "our"), an AI data intelligence agency. By accessing or using the Service, or by submitting a form or booking a call, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

DashOpz builds and manages a live, AI-powered dashboard for the businesses we work with. We connect to the data sources you authorize, build and host your dashboard, and provide an embedded AI assistant that helps you understand your numbers. The specific scope, deliverables, and fees for a paid engagement are set out in a separate order, proposal, or agreement between you and us. If those terms conflict with these Terms, the signed engagement terms control for that engagement.

2. Eligibility and accounts

The Service is intended for businesses and for users who are at least 18 years old. You are responsible for the accuracy of the information you provide and for all activity under your account. If you are given dashboard access, keep your credentials confidential and notify us promptly of any unauthorized use. You may not share access with anyone not authorized to see your dashboard.

3. Your data and content

You own your data.As between you and us, you retain all rights to the business data, files, and content you connect or upload ("Your Data"). You grant us a limited, non-exclusive license to access, process, store, and display Your Data solely to provide, maintain, secure, and improve the Service for you.

You represent that you have the right to share Your Data with us and that doing so does not violate any law or the rights of any third party. You are responsible for the data sources you connect and for ensuring you are permitted to grant us access to them.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Upload or connect data you do not have the right to share, or that infringes the rights of others.
• Attempt to access accounts, data, or dashboards that are not yours.
• Probe, scan, overload, disrupt, or circumvent the security or rate limits of the Service.
• Reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law.
• Upload malware, or files that exceed the limits we publish or communicate.

5. AI-generated output

The Service uses AI to generate dashboards, metrics, summaries, and answers. AI output can be incomplete or incorrect and is provided for informational purposes only. It is not professional, financial, legal, accounting, or tax advice, and you should independently verify anything you rely on. Where an AI action would change Your Data or your dashboard, we require your explicit approval before it takes effect. You are responsible for the decisions you make based on the Service.

6. Third-party services

The Service relies on third parties, including Calendly (scheduling), our AI provider (processing), and the data sources you connect (such as Google, Microsoft, Stripe, and Intuit/QuickBooks). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and connecting them is your choice.

7. Fees and payment

Paid engagements are billed as described in your order or agreement with us. Unless stated otherwise there, fees are due as invoiced, are non-refundable except where required by law, and are exclusive of taxes, which you are responsible for. If your account is past due, we may suspend the Service after reasonable notice.

8. Intellectual property

The Service, including our software, dashboards, designs, and brand, is owned by DashOpz and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your engagement is active. This does not transfer any ownership of the Service to you. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

9. Confidentiality

We treat Your Data as confidential and use it only to provide the Service, as described in our Privacy Policy. Each party agrees to protect the other's confidential information and not to disclose it except as needed to provide the Service or as required by law.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any result or AI output will be accurate or complete.

11. Limitation of liability

To the maximum extent permitted by law, DashOpz will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or CAD $100 if you have not paid us. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold DashOpz harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Data, your use of the Service, or your breach of these Terms or of any law or third-party right.

13. Term and termination

These Terms apply while you use the Service. Either party may end a paid engagement as set out in the applicable order or agreement. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to us, the Service, or others. On termination, your right to use the Service stops, and we will delete or return Your Data on request after the engagement ends, except where we are required to retain it. Sections that by their nature should survive (including 3, 8–12) survive termination.

14. Changes

We may update the Service and these Terms as the Service evolves. When we change these Terms, we will revise the effective date above and, for material changes, make reasonable efforts to let you know. Continuing to use the Service after a change means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario, Canada will have exclusive jurisdiction over any dispute, and you consent to that jurisdiction and venue, except where applicable law gives you the right to bring a claim elsewhere.
